Branch or Subsidiary in Qatar

A branch and a subsidiary are not two versions of the same thing.

When an existing foreign company decides to operate in Qatar, the first real decision is not where to register but what to register. A branch and a subsidiary behave differently in law, in liability and in what they are allowed to do — and the choice is hard to undo once made.

What a branch actually is

A branch is not a separate legal person. It is your existing company, present in Qatar. The parent carries the obligations and the liability directly, and a branch is typically established in connection with a specific contract or project rather than to trade generally. For a contractor awarded a defined piece of work, that is often exactly the right instrument — light, purpose-built, and aligned with the life of the contract.

What a subsidiary gives you instead

A subsidiary — in practice a mainland LLC or a QFC entity — is a separate legal person with its own licence, its own liability and its own ability to contract across its approved activities. It costs more to maintain and carries its own accounting and governance, but it is the structure you want if Qatar is a market rather than a single job. It also holds its own immigration file, which is what lets it sponsor staff.

The question that decides it

Ask how long you intend to be here and how many contracts you expect. One defined project with a clear end date points to a branch. An intention to bid repeatedly, hire locally or build a presence points to a subsidiary. Choosing a branch because it looks cheaper, then discovering you need to trade beyond the contract, is the expensive version of this mistake — restructuring later means starting the licensing and immigration work again.

What does not change either way

Whichever you choose, the activity scope still has to be approved, the entity still needs a registered address, and residency for your people still runs through the same chain — immigration file, Computer Card, Employer's Identity Card, work permit, then the residency card. The structure changes your liability and your commercial freedom; it does not exempt you from the sequence.

Send us the contract or the plan and we will tell you which of the two fits, and what each one costs to run — not just to open.

Frequently asked

What is the difference between a branch and a subsidiary in Qatar?

A branch is your existing company present in Qatar, with the parent carrying liability directly and the presence usually tied to a specific contract. A subsidiary is a separate legal person with its own licence, liability and ability to trade across its approved activities.

Which is cheaper?

A branch is usually lighter to open and maintain, which is why it is often chosen for a single defined project. It stops being cheaper the moment you need to trade beyond that contract and have to restructure.

Can a branch sponsor employees?

Residency runs through the same chain either way — an immigration file, a Computer Card for the authorised signatory, an Employer's Identity Card, then work permits. What differs is the legal nature of the entity, not the sequence.

Can I convert a branch into a subsidiary later?

Restructuring is possible but it is not a formality: in practice it means redoing the licensing and immigration work. That is precisely why the choice deserves time before you commit, not after.
